TeacherCanvas, LLC is a Virginia Limited Liability Corporation and as such, these terms shall be governed by and construed in accordance with the laws of the state of Virginia, United States.
The Service is web-based and allows users who register for an account through the Service (herein referred to as an “Account Holder”), to create and maintain a website on TeacherCanvas.com, including the use of “teacher tools” provided as part of the Service. Unless explicitly stated otherwise, any changes to features of the Service shall be subject to the Terms and Conditions. In order to use the Service, you must have access to the World Wide Web. User shall be responsible for obtaining and maintaining all telephone, computer hardware, software, and other equipment needed for access to and use of TeacherCanvas.com and all charges related thereto.
All Account Holders must be “Educators” as defined by TeacherCanvas. Authorized Educators include teachers, guidance counselors, school administrators, and other school personnel whose primary job is communicating directly with students in the context of a school setting. Educators should be employed by a public school system, accredited college or university, a private school providing the same educational services as public school systems, or teachers who provide such services through homeschooling. Pre-service teachers enrolled in post-secondary education programs are also eligible. Educators must be at least 18 years of age. In all cases, the Educator’s e-mail address must be used as the registered e-mail address for the Service. TeacherCanvas sites may not be used for personal, commercial, or non-educational purposes.
TeacherCanvas reserves the right to determine how the term Educator is defined in relation to use of the Service, to decide who qualifies, and to change the conditions of such qualification at any time. TeacherCanvas reserves the right to request eligibility verification at any time.
You agree to provide current, accurate, and complete information as requested through the Registration process required to become an Account Holder with the Service and to update such information promptly if changes occur. TeacherCanvas, LLC reserves the right to suspend or terminate the account if such information is not current, inaccurate, or incomplete.
The Security Policy of TeacherCanvas is part of the Terms and Conditions, and consent to this Agreement includes consent to our Security Policy in its entirety.
TeacherCanvas, LLC shall have the right, but not the responsibility, to monitor the content of TeacherCanvas.com, including chat rooms and forums, to determine compliance with this Agreement and any operating rules established by TeacherCanvas, LLC, and to satisfy any law, regulation, or authorized government request. TeacherCanvas, LLC shall have the right in its sole discretion to edit, refuse to post, or remove any material submitted to or posted on TeacherCanvas.com. Without limiting the foregoing, TeacherCanvas, LLC shall have the right to remove any material that TeacherCanvas, LLC, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.
TeacherCanvas may modify limits and change practices without notice and reserves the right at any time to discontinue, temporarily or permanently, the Service or any part of the Service, with or without notice. TeacherCanvas will not be liable for any change or discontinuation of the Service.
There is a nonrefundable cost to use the Service. Consent to this agreement also authorizes TeacherCanvas, LLC to make any necessary inquiries necessary to validate your account and payment information. Payments of taxes, levies, or duties are the responsibility of the Account Holder. TeacherCanvas reserves the right to change its prices at any time.
The Software used in conjunction with the Service contains confidential, proprietary information that is protected by law, including intellectual property laws. This information may not be shared, modified, or distributed in any form.
Any questions, suggestions, or ideas you submit to TeacherCanvas.com become the property of TeacherCanvas, LLC and may be used in any way we deem appropriate. By submitting such communications you represent that publication of the question, suggestion, or idea is not protected by copyright and that no such right will be violated. Please do not send any original creative artwork, samples, demos, or other works. The sole purpose of this policy is to avoid potential misunderstandings. Although TeacherCanvas welcomes your ideas and questions and the opportunity to share them with our audience, we do not want to receive confidential, proprietary, or otherwise protected works. Please do not send any original creative work, such as original artwork. All submissions become the exclusive property of TeacherCanvas, LLC and may be published and modified at our sole discretion.
No permission is granted to use any documents, graphics, software, or any other item included in or available through this web page unless a specific License Agreement accompanies such item. TeacherCanvas asserts all copyrights and proprietary rights in and to materials available through this website regardless of whether such materials include a notice of copyright.
The Service is provided on an “As Is” and “As Available” basis and use of such Service is at your own risk. TeacherCanvas disclaims all warranties, express or implied, including but not limited to the implied warranties of non-infringement, merchantability, and fitness for a particular purpose.
TeacherCanvas will make reasonable effort to maintain the Service; however, TeacherCanvas is not responsible for any loss or damage resulting from delays, misdelivery or nondelivery of information, problems with access to the Service, or errors in Service functionality. TeacherCanvas does not warrant that the Service will meet your particular needs, will be error-free or uninterrupted, secure, or that errors in the software will be corrected. The owners and operators of TeacherCanvas.com will not intentionally or willfully transmit files they know to contain viruses. However, portions of this site serve as a repository of files that are uploaded by users. We do not take steps to check any such files for viruses. It is your responsibility as the User to do so. TeacherCanvas is not responsible for any computer viruses that may be present in any of the items that you obtain from or through this site. You agree to immediately notify us of any files you download that you believe to contain viruses. A “virus” is a computer program or a code or portion of a computer program, which is intentionally created and programmed to cause damage to, corrupt, hinder, crash, tie up, or otherwise create negative effects on the user’s computer system.
The Account Holder understands and agrees that TeacherCanvas, LLC shall not be held liable for any damages arising out of the use of the Service, including but not limited to liability for direct, indirect, special, incidental, or consequential damages, even if we are advised beforehand of the possibility of such damages. If you reside in a state or jurisdiction for which some of these exclusions or limitations are not applicable, the liability of TeacherCanvas, LLC is limited to the fullest extent allowable by such law and the liability of TeacherCanvas, if any, shall not exceed the amount you paid to the Service for its use and any claim or cause of action must be filed within one (1) year of the incidence of claim or cause of action or be forfeited.
TeacherCanvas reserves the right to modify or make changes to the Service and/or Terms and Conditions without notice. In the event notice is provided, such notices may be made via e-mail or standard mail. TeacherCanvas may also provide notices by displaying links or the information on the Service.
Unless otherwise provided by law, all refund requests must be made within thirty (30) days from the user's date of enrollment in TeacherCanvas. This Agreement and any operating rules for TeacherCanvas.com established by TeacherCanvas, LLC constitute the entire agreement of the parties with respect to the subject matter hereof. This Agreement shall be construed in accordance with the laws of the state of Virginia, United States, without regard to its conflict of laws rules. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import. Any rights not expressly granted herein are reserved.
